Advertising and client acquisition services agreement No. [___]

[City][Date]

[Company name / full name], represented by [title, name], acting under [articles / power of attorney] (the “Client”), and GlobalSeller ([legal form and entity name], reg. no. [________], address [________]), represented by [name] (the “Agency”), together the “Parties”, agree as follows.

1. Scope

  1. 1.1
The Agency sets up and manages advertising to bring customers to the Client’s product: [product / property description] (the “Product”).
  2. 1.2
Turnkey setup includes: an audit of the Product, competitors and markets; a strategy and media plan with a cost-per-lead forecast; one landing page or quiz in the agreed languages (up to 4); creatives, video and ad copy; setup of ad accounts (Meta, Google and YouTube, TikTok, Telegram and other agreed platforms); pixels, conversions and CRM integration; a response funnel (first-reply scripts, message templates, follow-up sequence); a basic AI assistant for first replies to leads, if agreed in the media plan.
  3. 1.3
Management includes: daily campaign optimisation; new creatives and A/B tests; lead quality control; a weekly report and call; scaling to new countries and languages as agreed with the Client.
  4. 1.4
Additional work (premium AI advertising, an AI sales team, SEO, website and platform development, extra landing pages and languages) is quoted separately and agreed by the Parties in writing.

2. Fees and payment

  1. 2.1
Turnkey setup: €1,500 (one thousand five hundred euros), one-off, 100% prepaid within [3] banking days of the invoice.
  2. 2.2
Management: €500 (five hundred euros) per month, paid in advance before each month of management. The first month is paid on the day the ads go live.
  3. 2.3
The ad budget is not included in the fees. The Client pays it directly to the ad platforms, with the Client’s own card or billing account in the Client’s ad accounts. Ad money never passes through the Agency. The recommended budget is set out in the media plan: €[____] per month.
  4. 2.4
Prices exclude taxes where applicable. Payment is made by bank transfer or another agreed method against the Agency’s invoice.

3. Leads, access and rights

  1. 3.1
All leads belong to the Client and are delivered directly to the Client’s WhatsApp, Telegram, CRM or e-mail as they arrive.
  2. 3.2
The Agency does not pass leads or customer data to third parties and does not use them in other projects.
  3. 3.3
Ad accounts, pixels and analytics are registered to the Client or connected to the Client’s business accounts, and the Agency works in them through granted access. When the agreement ends, the Agency’s access is removed and all campaigns and data stay with the Client.
  4. 3.4
Exclusive rights to the creatives, copy and landing page made under this agreement pass to the Client after full payment. Stock and generated materials are used under their licences.
  5. 3.5
The Agency may show the work in its portfolio without disclosing confidential data, unless the Client objects in writing.
  6. 3.6
Customer personal data is processed in line with applicable data protection law. The Client decides the purposes of processing; the Agency processes the data only to deliver leads and optimise advertising. Where required, the Parties sign a separate data processing agreement (e.g. under Art. 28 GDPR).

4. Timeline

  1. 4.1
Ads go live within [10] working days after the setup fee is paid and the Client has provided materials and access: photos, video, prices, Product description, ad account access.
  2. 4.2
The Client approves creatives and copy within [2] working days. Without a reply, the materials are deemed approved.
  3. 4.3
Delays in materials or approvals on the Client’s side move deadlines accordingly.

5. Obligations

  1. 5.1
The Agency performs the work under clauses 1.2–1.3; sends a weekly report (spend, leads, cost per lead, CTR, findings and next steps) and holds a call; agrees changes of strategy, budget and new markets with the Client; reports moderation or account issues within 1 working day.
  2. 5.2
The Client provides accurate information about the Product, prices and availability and is responsible for the legality of the Product and of advertising claims; pays fees and tops up the ad budget on time; handles leads quickly (recommended first reply within 15 minutes during working hours) and tells the Agency about lead quality and sales so the ads can be optimised.

6. Results

  1. 6.1
The Agency guarantees the agreed scope of work, deadlines and reporting.
  2. 6.2
The number of leads and sales depends on the Product, price, market, budget and how fast the Client handles leads, so the Agency does not guarantee a specific number of leads, sales or income. Media plan forecasts are estimates, not obligations.
  3. 6.3
The Agency is not responsible for ad platform decisions (moderation, restrictions, bans) but helps appeal them and rebuild campaigns.

7. Confidentiality

  1. 7.1
The Parties do not disclose each other’s business information received under this agreement to third parties during its term and for [2] years after it ends, except where required by law.

8. Term and termination

  1. 8.1
The agreement takes effect on signing. Management renews automatically for each following month unless either Party gives notice.
  2. 8.2
The recommended minimum management period is [3] months: that is how long it takes to collect enough data for optimisation.
  3. 8.3
Either Party may terminate with [14] days’ written notice, including by e-mail or messenger. A paid month of management is completed in full.
  4. 8.4
The setup fee is non-refundable once work has started. If the agreement ends before work starts, the prepayment is refunded minus actual costs.

9. Liability and disputes

  1. 9.1
The Agency’s liability is limited to the management fee paid for the last month, to the extent permitted by law.
  2. 9.2
Disputes are settled by negotiation and, failing that, by the courts at the Agency’s location [or: ________], under the law of [________].
  3. 9.3
Correspondence via the WhatsApp, Telegram and e-mail contacts listed below is treated by the Parties as official.

Appendix 2. Model B: partnership, ad budget funded by the Agency

If the Parties choose model B, section 2 is replaced by the terms of this appendix.

  1. B.1
The Agency pays the ad budget at its own expense up to €[____] per month and performs the work under clauses 1.2–1.3.
  2. B.2
The Client pays the Agency a fee of [__]% of the price of each closed deal with a customer brought by the Agency’s advertising, within [5] banking days of receiving payment from the buyer [or: of signing the sale agreement].
  3. B.3
A customer counts as brought by the Agency if their first enquiry came through the Agency’s ads or channels and is recorded in the shared CRM, and the deal is signed within [12] months of the enquiry.
  4. B.4
Leads and deals are tracked in a shared CRM. The Client reports each deal within [3] working days and confirms it with documents (contract, amount) on request.
  5. B.5
Only objects and products approved by the Agency, with confirmed prices and the Client’s right to sell, are accepted into the partnership.
  6. B.6
If the Client withdraws an object from sale or changes its price by more than [10]% without agreement, the Agency may stop the ads, and the Client reimburses the Agency’s documented ad spend for that object for the last [__] months.
  7. B.7
The Agency may stop funding the ads with [7] days’ notice. Fees for customers brought before then remain payable under clause B.3.
